The terms that govern your use of FleetClerk, including subscriptions, acceptable use, and the limits of the service.

Acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of FleetClerk. By creating an account or using the service, you agree to these Terms. If you are using FleetClerk on behalf of a business, you represent that you are authorized to bind that business to these Terms.

The service

FleetClerk provides fleet compliance tracking, maintenance reminders, document storage, and — on paid plans and where connected — QuickBooks-based cost reporting for small trades businesses. We may add, change, or remove features over time.

Your account

You are responsible for the accuracy of the information you enter, for maintaining the security of your account, and for all activity under your account. Notify us promptly of any unauthorized use.

Plans, billing, and cancellation

FleetClerk offers a free plan and paid subscription plans. Paid plans are billed in advance on a recurring basis (monthly or annual) through our payment processor, Stripe. Paid plans may include a free trial; if you do not cancel before the trial ends, the plan converts to a paid subscription.

You can cancel at any time, effective at the end of the current billing period. Except where required by law, payments are non-refundable. We may change our prices with reasonable notice; changes apply to the next billing period.

Acceptable use

You agree not to:

  • Use FleetClerk for any unlawful purpose or in violation of these Terms.
  • Attempt to access another customer’s account or data, or probe, scan, or breach our security.
  • Interfere with or disrupt the integrity or performance of the service.
  • Upload content you do not have the right to upload, or that is malicious.

Third-party integrations

FleetClerk can connect to third-party services such as QuickBooks Online. When you connect one, you authorize us to access and use the relevant data to provide the feature, and your use of that third-party service remains governed by its own terms. You can disconnect an integration at any time.

Reminders are a tool, not a guarantee

FleetClerk’s reminders are designed to help you stay ahead of registration, insurance, inspection, and maintenance deadlines, based on the information in your account. They are a convenience, not a guarantee. You remain solely responsible for your vehicles’ legal compliance and maintenance. FleetClerk is not responsible for a missed deadline, a lapse, a fine, or a breakdown.

Intellectual property

FleetClerk and its software, design, and content are owned by us and our licensors. You retain ownership of the data you put into FleetClerk, and you grant us the limited rights needed to host and process it to provide the service.

Disclaimers

The service is provided "as is" and "as available," without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or that reminders will always be delivered.

Limitation of liability

To the fullest extent permitted by law, FleetClerk will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business. Our total liability for any claim relating to the service will not exceed the amount you paid us for the service in the twelve months before the claim.

Termination

You may stop using FleetClerk and delete your account at any time. We may suspend or terminate access if you violate these Terms or to protect the service. On termination, your right to use the service ends; sections that by their nature should survive (such as disclaimers and limitation of liability) will survive.

Governing law

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-laws principles. You agree that any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in Minnesota.

Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Continued use after changes take effect means you accept the updated Terms.
